Duties

  • Structure and form private equity, venture capital, and hedge funds
  • Draft and negotiate fund documents, including limited partnership agreements
  • Advise fund sponsors and institutional investors on investment strategies
  • Negotiate with limited partners on behalf of fund sponsors
  • Review and provide counsel on subscription documents
  • Represent private or institutional investors in their investments into private funds
  • Assist with the structuring of general partner and management companies
  • Ensure compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940
  • Work closely with senior attorneys on complex fund formation and investment matters

Requirements

  • Minimum of 3 years of experience in private investment funds law
  • Experience in structuring and forming private equity, venture capital, or hedge funds
  • Strong knowledge of fund formation, subscription documents, and general partner structures
  • Familiarity with the Investment Company Act of 1940 and the Investment Advisers Act of 1940
  • Excellent academic credentials
  • Strong negotiation, drafting, and communication skills
  • Ability to work independently and as part of a team in a fast-paced environment
  • Demonstrated ability to manage multiple projects and deadlines effectively

Education

  • Juris Doctor (JD) from an accredited law school

Certifications

  • Admission to the state bar

  • Strong knowledge of private investment fund formation and structuring
  • Proficiency in drafting and reviewing fund documents and subscription agreements
  • Excellent negotiation and communication skills
  • Strong analytical and problem-solving abilities
