Job Overview:
A reputable law firm is looking for a mid-level corporate associate to join its Capital Markets and Public Companies practice. This is an excellent opportunity for an attorney with over three years of experience working with public companies and investment banks. The role involves advising on SEC compliance, and governance matters, and handling capital market transactions, such as IPOs, SPACs, direct listings, and follow-on offerings. A strong interest or experience in technology and life sciences sectors is a plus. The position is based in Seattle, WA, and requires a Washington State Bar admission.

Duties:

  • Provide legal counsel to public companies on SEC compliance, corporate governance, disclosure requirements, and exchange matters.
  • Represent issuers or investment banks in capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
  • Advise clients on corporate governance and corporate law matters for both established and emerging companies.
  • Draft and review documents related to capital markets transactions, SEC filings, and governance matters.
  • Collaborate with senior attorneys and clients in advising on complex business and regulatory issues.
  • Stay updated on developments in securities laws and regulations to effectively guide clients.

Requirements:

  • Minimum of 3 years of experience in corporate law, with a focus on capital markets or public company matters.
  • Solid background in SEC compliance, disclosure, and corporate governance.
  • Experience representing issuers or investment banks in capital market transactions.
  • Strong interpersonal and communication skills, with the ability to explain complex legal concepts clearly.
  • Proven track record of handling client relationships in a corporate law setting.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the Washington State Bar is required.

Skills:

  • Expertise in capital markets, SEC compliance, and corporate governance.
