Corporate Attorney

A law firm is looking for a skilled Corporate Attorney to join its thriving Business & Finance team. Key Responsibilities:

• Advise businesses and corporate clients on a range of legal matters, including entity structuring, governance, and compliance

• Structure, negotiate, and execute mergers, acquisitions, and other corporate transactions

• Draft and review contracts, shareholder agreements, operating agreements, and other business-related documentation

• Counsel clients on private placements, financing transactions, and investment strategies

• Provide legal insight into succession planning, tax implications, and regulatory compliance

• Assist in real estate transactions, including acquisitions, leasing, and related negotiations

• Offer guidance on intellectual property matters, licensing agreements, and commercial negotiations

• Represent clients in business-related legal proceedings as needed

Qualifications & Requirements:

• Minimum of 5 years of experience in corporate law, with a focus on transactional matters (additional experience is a plus)

• Admitted to practice law in Pennsylvania (New Jersey bar admission is preferred)

• Strong analytical, negotiation, and drafting skills

• Ability to manage multiple complex transactions simultaneously

• Excellent client communication and relationship-building skills

• Experience working with businesses across a range of industries is beneficial

Education & Certifications:

• Juris Doctor (J.D.) degree from an accredited law school

• Active license to practice law in Pennsylvania (New Jersey preferred)
