A law firm is looking for a skilled Corporate Attorney to join its thriving Business & Finance team. The ideal candidate is an experienced legal professional with a background in mergers and acquisitions, corporate governance, and general business transactions. A strong ability to negotiate, draft, and structure agreements is essential. Those with additional expertise in areas such as shareholder agreements, private investments, succession strategies, tax law, real estate transactions, licensing, intellectual property, or commercial contracts are encouraged to apply.
Advise businesses and corporate clients on a range of legal matters, including entity structuring, governance, and compliance
Structure, negotiate, and execute mergers, acquisitions, and other corporate transactions
Draft and review contracts, shareholder agreements, operating agreements, and other business-related documentation
Counsel clients on private placements, financing transactions, and investment strategies
Provide legal insight into succession planning, tax implications, and regulatory compliance
Assist in real estate transactions, including acquisitions, leasing, and related negotiations
Offer guidance on intellectual property matters, licensing agreements, and commercial negotiations
Represent clients in business-related legal proceedings as needed
Minimum of 5 years of experience in corporate law, with a focus on transactional matters (additional experience is a plus)
Admitted to practice law in Pennsylvania (New Jersey bar admission is preferred)
Strong analytical, negotiation, and drafting skills
Ability to manage multiple complex transactions simultaneously
Excellent client communication and relationship-building skills
Experience working with businesses across a range of industries is beneficial
Juris Doctor (J.D.) degree from an accredited law school
Active license to practice law in Pennsylvania (New Jersey preferred)
