Duties

  • Support corporate clients on a variety of general business law matters

  • Draft and negotiate transactional documents for mergers, acquisitions, and private equity deals

  • Assist with entity formation, corporate governance, and financing arrangements

  • Advise clients on securities compliance and regulatory filings

  • Collaborate with legal teams and clients to structure and close transactions

  • Conduct legal research and draft memoranda related to corporate and commercial law

  • Participate in due diligence and risk assessment in complex transactions

Requirements

  • Minimum of 3 years of experience in private practice focused on corporate law

  • Background in middle-market M&A, private equity, or securities transactions is preferred

  • Ability to manage multiple deals and priorities in a fast-paced environment

  • Strong client-facing experience and a business-oriented mindset

Education

  • Juris Doctor (J.D.) from an accredited law school

Certifications

  • Active license to practice law in at least one U.S. jurisdiction

  • Admission to the Maine Bar or willingness to obtain admission is preferred
