Job Overview
A prominent law firm based in Charlotte is seeking a talented legal professional to support its expanding securities and capital markets practice. This role involves working directly with high-level executives and stakeholders of publicly traded and privately held companies, as well as investor groups, on an array of transactional and compliance matters related to federal securities laws and market offerings. The ideal candidate will demonstrate proficiency in corporate governance and capital markets, a strong grasp of securities law, and the ability to navigate complex regulatory environments with precision and clarity.

Duties

  • Assist public and private companies in capital-raising transactions

  • Prepare and review SEC filings including quarterly and annual reports, proxy statements, and registration statements

  • Advise on offerings such as IPOs, PIPEs, convertible securities, Rule 144A/Reg S, ATM offerings, and high-yield debt

  • Provide counsel on corporate governance, disclosure obligations, and exchange listing requirements

  • Support clients in compliance with NYSE and Nasdaq rules

  • Participate in due diligence, drafting, and negotiation of offering-related documentation

  • Stay informed of legal and regulatory developments impacting capital markets

Requirements

  • 2-3 years of post-law school experience at a law firm with a corporate or capital markets practice

  • Demonstrated experience with public company reporting and securities transactions

  • Strong legal research, writing, and analytical abilities

  • Excellent organizational and project management skills

  • Comfortable working directly with clients in a fast-paced environment

Education

  • Juris Doctor (J.D.) or equivalent law degree from an accredited institution

Certifications

  • Licensed to practice law in at least one U.S. jurisdiction

  • North Carolina Bar admission preferred or willingness to obtain

Skills

  • Deep understanding of U.S. securities laws and capital markets

  • Familiarity with investment-grade and high-yield debt instruments

  • Experience with public company SEC reporting and disclosure obligations

  • Skilled in legal drafting, contract negotiation, and transaction strategy

  • Strong communication and interpersonal skills for client interaction

  • Ability to work collaboratively in cross-functional teams
