Job Overview:
A leading law firm is seeking a highly motivated Tax Associate to join its transactional tax practice. The ideal candidate will have 3 to 5 years of experience, particularly in transactional tax matters such as M&A, partnership issues, fund formation, REITs, joint ventures, Private Equity, and other M&A-related work. The role requires strong academic credentials and excellent written and verbal communication skills, with a preference for candidates with an LL.M. in taxation or substantial tax coursework at the JD level.

Location:

  • Open to all office locations
  • Position requires 3 days a week in-office presence

Duties:

  • Provide tax-related legal support in transactional matters, including M&A, fund formation, REITs, joint ventures, and Private Equity
  • Advise on general transactional tax issues and partnership matters
  • Assist in structuring and negotiating tax-efficient transactions
  • Conduct legal research and prepare documents related to tax matters
  • Draft and review tax provisions in corporate and partnership agreements
  • Collaborate with partners and other associates on various complex tax projects

Requirements:

  • 3 to 5 years of experience in transactional tax matters
  • Experience with M&A, partnership tax issues, fund formation, REITs, joint ventures, and Private Equity
  • Strong academic credentials
  • LL.M. in taxation or significant tax coursework at the JD level preferred
  • Law firm experience is preferred, but large accounting firm experience will also be considered
  • Licensed and in good standing in the state where practicing
  • Position requires in-office presence for 3 days per week

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • LL.M. in Taxation (preferred)
  • Active Bar membership in the state where practicing

Skills:

  • Strong knowledge of transactional tax law
  • Proficient in tax structuring, tax research, and drafting tax-related documents
  • Excellent written and verbal communication skills
  • Ability to work independently and collaboratively
  • Attention to detail and ability to manage complex projects
