Job Overview:
A prestigious law firm in Los Angeles, CA is seeking a talented and experienced associate attorney to join its Mergers & Acquisitions and Private Equity practice group. This is an excellent opportunity for an individual with at least 2 years of experience in M&A or private equity transactions to contribute to high-profile deals and work with a collaborative, dynamic team. The ideal candidate will possess strong legal acumen, excellent communication skills, and the ability to manage complex matters for corporate clients.

Duties:

  • Handle a variety of sophisticated transactions, including mergers, acquisitions, and private equity deals.
  • Provide strategic legal advice to clients, focusing on structuring, negotiating, and executing complex agreements.
  • Conduct legal research, draft and review contracts, and assist in due diligence processes.
  • Collaborate closely with partners and senior attorneys to manage multiple client relationships and projects.
  • Lead negotiations and manage all aspects of transaction execution from inception through closing.
  • Draft memoranda and legal correspondence, and assist in preparing materials for client presentations.
  • Keep clients informed of key developments and provide advice on emerging legal issues.

Requirements:

  • Minimum of 2 years of relevant experience in corporate law, specifically in Mergers & Acquisitions or Private Equity.
  • Strong background in corporate transactions, including familiarity with deal structures, regulatory issues, and financial documents.
  • Ability to work independently and manage multiple matters simultaneously while maintaining attention to detail.
  • Exceptional communication, negotiation, and drafting skills.
  • Strong research and analytical skills.
  • Proven track record of working effectively in team-oriented environments and managing client relationships.

Education:

  • JD from an accredited law school.

Certifications:

  • Licensed to practice law in California.

Skills:

  • Expertise in Mergers & Acquisitions and Private Equity transactions.
  • Exceptional verbal and written communication skills.
  • Proficient in legal research and drafting legal documents.
  • Strong organizational and project management abilities.
  • Ability to work in a fast-paced environment and meet tight deadlines.
