Job Overview:
A prestigious law firm is seeking a qualified mid-level associate to join its Private Investment Funds practice. The ideal candidate will have 3-5 years of experience handling fund formation transactions within private equity, real estate, or technology sectors. This position will involve managing significant portions of transactions, particularly in private placements, unregistered funds, and matters related to the Investment Company Act and Investment Advisers Act.

Location:

  • Boston, MA

Duties:

  • Manage significant components of fund formation transactions for private investment funds
  • Work with private equity, real estate, and technology industries on regulatory and transactional matters
  • Handle private placements under the 33 Act and unregistered funds under the Investment Company Act
  • Gain exposure to the Investment Advisers Act
  • Collaborate with senior associates and partners to provide legal advice and solutions to clients
  • Draft and review legal documents related to fund formation and offering memoranda
  • Help build and maintain strong client relationships
  • Assist with business development and marketing activities

Requirements:

  • 3-5 years of experience in private investment funds, private equity, real estate, or tech industries
  • Strong experience with fund formation, private placements, and investment regulations
  • Ability to manage substantial components of transactions independently
  • Outstanding written and verbal communication skills
  • Strong academic background from a reputable law school
  • Bar admission in the state of practice (or eligibility to obtain admission promptly)

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Relevant bar admission (or eligibility to obtain admission promptly)

Skills:

  • Expertise in private equity fund formation and investment-related regulations
  • Strong legal research, drafting, and analytical skills
  • Ability to work independently and as part of a team
  • Excellent organizational, time management, and multitasking abilities
  • Strong interpersonal skills with the ability to build and maintain client relationships
