A law firm located in New York City is seeking a Project Finance Associate Attorney with 3-6 years of significant transactional experience in debt project finance and/or tax equity. The ideal candidate will have extensive experience in negotiating, preparing, reviewing, and negotiating various credit agreements and ancillary documents related to project finance. This role requires a strong background in conducting due diligence on key project agreements and an ability to handle complex transactions effectively.

Key Responsibilities:

  • Negotiate, prepare, and review credit agreements, intercreditor arrangements, collateral documents, and other ancillary credit documents.
  • Draft and negotiate tax equity transaction documents, including equity capital contribution agreements, membership interest purchase agreements, LLC agreements, leases, and related documents.
  • Review and conduct due diligence on key project agreements, such as joint venture agreements, feedstock, offtake, EPC/EPCM, O&M services, transportation, and commodity purchase and sale agreements.
  • Provide legal advice and strategic recommendations on complex project finance transactions.
  • Collaborate with clients and other stakeholders to ensure all aspects of project agreements are addressed and aligned with project goals.
  • Stay updated on industry developments and regulatory changes affecting project finance and tax equity.
  • Prepare and review legal documentation to support project financing and tax equity transactions.

Requirements:

  • 3-6 years of significant transactional experience in debt project finance and/or tax equity.
  • Extensive experience in negotiating and reviewing credit agreements and ancillary documents.
  • Proven track record in drafting and negotiating tax equity transaction documents and conducting due diligence on project agreements.
  • Strong analytical and problem-solving skills.
  • Ability to handle complex transactions and provide strategic legal advice.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership in the state of New York.

Skills:

  • Proficient in negotiating, preparing, and reviewing credit and tax equity documents.
  • Strong due diligence and analytical abilities related to project agreements.
  • Excellent written and verbal communication skills.
  • Ability to manage complex transactions and provide effective legal counsel.
  • High level of organizational skills and attention to detail.
