Job Overview:
A distinguished law firm is seeking an experienced Investment Funds Associate with a focus on hedge funds to join its industry-leading Hedge Fund Formation practice. This role involves working on hedge fund launches ranging from institutional to emerging managers and provides opportunities for professional growth, mentorship, and increasing responsibility within a dynamic, growth-oriented team.

Location:

  • New York, NY

Duties:

  • Assist with hedge fund launches, including institutional and emerging managers.

  • Draft fund offering and operating documents, such as private placement memoranda, limited partnership agreements, investment management agreements, subscription documents, and side letters.

  • Prepare and negotiate separately managed account agreements.

  • Advise clients on regulatory requirements affecting hedge funds.

  • Support clients with fund structuring and compliance-related matters.

  • Collaborate with senior legal professionals to manage complex fund formations.

Requirements:

  • Minimum of two years of experience in hedge fund formation.

  • Strong understanding of the U.S. regulatory framework governing hedge funds.

  • Negotiation experience for more senior associates.

  • Experience with seed deals, hybrid funds, closed-end funds, or investor-side representation is beneficial but not required.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Active bar membership in at least one U.S. jurisdiction.

Skills:

  • Excellent legal drafting and research skills.

  • Strong negotiation and contract structuring abilities.

  • Ability to analyze and apply complex regulatory guidelines.

  • Effective communication and interpersonal skills.

  • Detail-oriented with the ability to manage multiple projects efficiently.
