A law firm in San Francisco, CA is seeking a Mid-Level Corporate M&A Associate Attorney with 3-4 years of experience at a leading corporate firm. The ideal candidate must be an active member of the Bar in the jurisdiction they will be working, with superior academic credentials, excellent oral, written, and interpersonal skills. Experience with or affinity for technology and/or life sciences companies is considered advantageous.

Duties:

  • Conducting due diligence reviews and analyzing corporate documents for M&A transactions.
  • Drafting and negotiating transactional agreements including merger agreements, stock purchase agreements, and ancillary documents.
  • Providing counsel on corporate governance matters and regulatory compliance.
  • Assisting with financing transactions related to M&A deals, including debt and equity financing.
  • Collaborating with interdisciplinary teams such as tax, regulatory, and employment attorneys.
  • Managing transaction closings and post-closing activities.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in California or eligibility to sit for the next California Bar exam.
  • 3-4 years of experience specifically in mergers and acquisitions at a reputable corporate law firm.
  • Strong understanding of corporate law principles and M&A transactional processes.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to thrive in a fast-paced environment, manage multiple priorities, and meet deadlines.

Preferred Skills:

  • Experience working with technology and/or life sciences sectors.
  • Familiarity with securities laws and regulations.
  • Strong business acumen and client management skills.
