A law firm in Washington, DC, is seeking a skilled Corporate Fund Formation Associate Attorney to join their rapidly growing private investment funds team. The ideal candidate will have extensive experience in private investment fund formation and counseling, a deep understanding of relevant corporate and securities regulations, and an entrepreneurial mindset. This role involves working closely with venture funds, venture studios, incubators, accelerators, and crypto venture funds.

Duties:

  • Advise clients on the formation, structuring, and operation of private investment funds, including venture funds, venture studios, incubators, accelerators, and crypto venture funds.
  • Draft and negotiate fund formation documents, including partnership agreements, subscription agreements, and management agreements.
  • Ensure compliance with relevant corporate and securities regulations.
  • Provide counsel on fund management, investor relations, and regulatory compliance matters.
  • Conduct due diligence for fund formation and investor relations.
  • Collaborate with other attorneys and professionals in the firm to deliver comprehensive legal services to clients.
  • Stay abreast of industry trends, regulatory changes, and best practices in fund formation and investment.

Requirements:

  • 3-4 years of experience in private investment fund formation and counseling.
  • Demonstrated expertise in relevant corporate and securities regulations.
  • Superior academic credentials from a top-tier law school.
  • Proven ability to manage complex legal matters and provide strategic advice to clients.
  • Excellent oral and written communication skills, with the ability to present complex legal concepts clearly.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
