Mid-to-Senior Level Corporate Associate Attorney

Job Overview: A law firm in Mountain View, CA, is seeking a dynamic Mid-to-Senior Level Corporate Associate Attorney to join its team. The ideal candidate will have at least 3+ years of experience in a sophisticated corporate law practice, focusing on startup, venture capital, and emerging company representation. The candidate must possess outstanding academic credentials, exemplary oral and written communication skills, and exceptional interpersonal abilities. California Bar admission is preferred.

Duties:

• Provide legal counsel and strategic advice to clients in corporate matters, including entity formation, financing, mergers and acquisitions, and corporate governance.
• Draft, review, and negotiate various corporate agreements, including investment documents, shareholder agreements, and licensing agreements.
• Conducted due diligence and assisted with transactional closings.
• Collaborate with cross-functional teams and external parties, such as clients, opposing counsel, and financial advisors.
• Stay updated on relevant laws, regulations, and industry trends.

Requirements:

• Minimum of 3+ years of experience in a sophisticated corporate law practice.
• Demonstrated expertise in startup, venture capital, and emerging company representation.
• Strong affinity for technology and life sciences companies.
• Superior academic credentials from a reputable law school.
• Admission to the California Bar (preferred).

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the California Bar (preferred).
