Job Overview:
A prestigious law firm is seeking a highly qualified midlevel associate to join its Corporate & Business Transactions practice group. The ideal candidate will have 4-5 years of law firm experience in M&A/Private Equity transactions, with a focus on drafting and negotiating transaction agreements. Location:

Duties:

  • Manage and support M&A/Private Equity transactions, including drafting, reviewing, and negotiating transaction agreements.
  • Provide legal counsel and support to clients on corporate matters.
  • Conduct legal research related to corporate transactions.
  • Assist senior attorneys in structuring and executing complex business deals.
  • Prepare, revise, and review legal documents, including contracts and transaction documents.
  • Develop and maintain strong client relationships.
  • Contribute to business development efforts and client outreach.

Requirements:

  • 4-5 years of experience in M&A/Private Equity transactions within a law firm setting.
  • Proficient in drafting and negotiating complex transaction agreements.
  • Strong organizational, drafting, and analytical skills.
  • Ability to manage multiple tasks and work efficiently in a fast-paced environment.
  • Active member of the bar in the state of the office location.
  • Excellent academic credentials and legal experience.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active Bar Membership in the state of the office location.

Skills:

  • Exceptional drafting, negotiation, and communication skills.
  • Strong analytical and problem-solving abilities.
  • Excellent legal research skills and familiarity with research tools and software.
