Duties:

  • Lead formation and operation of private investment funds, including but not limited to private equity, credit, venture capital, fund-of-funds, and real estate vehicles

  • Structure and oversee co-investment arrangements, continuation vehicles, and GP stakes transactions

  • Advise clients on legal and regulatory frameworks affecting fund operations and investments

  • Manage secondary transactions and related restructuring initiatives

  • Mentor junior associates and provide strategic guidance within practice groups

  • Draft, negotiate, and review a wide range of fund-related documents and agreements

  • Collaborate closely with firm partners and clients on high-profile, cross-border transactions

Requirements:

  • Minimum of 7 years of focused experience in private funds law and related investment structures

  • Demonstrated expertise in fund formation, operational structuring, and investor-side negotiations

  • Strong written and oral communication skills with the ability to distill complex concepts concisely

  • Proven ability to lead matters independently while working within a team-based environment

  • Admission to the California State Bar (or eligibility to waive into California)

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active membership in at least one U.S. state bar (California preferred)

Skills:
