Job Overview:
A prominent law firm is seeking a talented Corporate Associate Attorney with 3-6 years of experience in transactional law, specifically advising clients in the crypto and Web3 sectors. This role will involve assisting with a variety of complex transactions, including venture capital financing, crypto token and NFT issuances, and the creation of offshore structures for digital assets. Candidates should have a deep understanding of blockchain technology, cryptocurrency markets, and regulatory compliance, with the ability to support clients at different stages of their business development, from start-ups to publicly traded entities.

Duties:

• Advise crypto and Web3 companies on various corporate transactions
• Assist in venture capital financings, including the structuring of crypto token rights or token warrants
• Provide counsel on crypto tokens, digital assets, and NFT issuances
• Support primary and secondary sales of crypto tokens and digital assets
• Help create offshore structures for digital asset and crypto token issuances
• Collaborate with clients in diverse industries, including fintech, AI, digital media, gaming, and cleantech
• Address regulatory concerns and securities law compliance as they pertain to crypto tokens

Requirements:

• 3-6 years of transactional experience in corporate law
• Strong understanding of blockchain technology and digital assets
• Experience in the crypto and Web3 sectors, including venture capital, token issuances, and asset sales
• Familiarity with securities laws and crypto token regulations is advantageous
• Ability to advise clients in emerging technologies and innovative industries
• Strong communication, drafting, and negotiation skills

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Active license to practice law in CA

Skills:

• Expertise in corporate law, particularly in the context of crypto and digital assets
• In-depth knowledge of blockchain technology
• Proficiency in handling complex transactions and legal structures
• Strong research, analytical, and problem-solving abilities
• Excellent written and verbal communication skills
• Ability to work effectively with both legal teams and clients
