M&A Counsel or Shareholder

A law firm seeks an experienced M&A Counsel or Shareholder to join a highly regarded national private equity practice. This is a unique opportunity to work within a collaborative, team-oriented environment on sophisticated private equity transactions. The successful candidate will have at least 7 years of experience in Mergers & Acquisitions, particularly within the private equity sector. Duties

• Lead and support M&A transactions with a focus on private equity.
• Provide legal counsel to national private equity sponsors and other clients in complex transactions.
• Collaborate with internal teams to advise on deal structure, strategy, and execution.
• Manage client relationships and work directly with senior executives on deal negotiations and strategies.
• Assist in growing the firm's M&A and private equity practice through proactive business development.
• Draft and review transactional documents, including agreements, term sheets, and financing documents.
• Stay informed of legal developments in M&A and private equity law, applying them to client matters.

Requirements

• 7+ years of experience in Mergers & Acquisitions, with a focus on private equity transactions.
• Strong experience in private practice, with a track record of successful transactions.
• Demonstrated ability to manage complex transactions and client relationships.
• Excellent interpersonal, communication, and analytical skills.
• Proven ability to work effectively both independently and as part of a team.
• A strong academic background, with a J.D. from an ABA-accredited law school.
• Active attorney license in at least one U.S. jurisdiction, with the ability to be admitted to the bar in Minnesota, Iowa, or Wisconsin.

Education

• Juris Doctor (J.D.) from an ABA-accredited law school.

• Active attorney license in at least one U.S. jurisdiction (Required).
