A law firm seeks a Senior Associate or Junior Counsel to join their Denver, CO office. This role focuses on the executive compensation and benefits aspects of Mergers and Acquisitions (M&A). The ideal candidate will have significant experience in executive employment agreements, equity incentive plans, and profit interest plans. This position provides the opportunity for growth and promotion within 2-3 years, depending on experience, class level, and performance.

Duties:

  • Advise clients on the executive compensation and employee benefits aspects of M&A transactions.
  • Draft and negotiate executive employment agreements, equity incentive plans, and profits interest plans.
  • Manage the compensation and benefits integration process for M&A deals.
  • Collaborate with other practice groups and provide strategic legal guidance throughout M&A transactions.
  • Ensure compliance with relevant laws and regulations governing executive compensation and benefits.
  • Develop and maintain strong client relationships by providing insightful and effective counsel.
  • Assist with due diligence efforts related to executive compensation and benefits in M&A contexts.

Requirements:

  • Extensive experience in executive compensation and benefits, particularly in M&A transactions.
  • Proven expertise in drafting and negotiating executive employment agreements and equity incentive plans.
  • Strong understanding of the regulatory framework related to executive compensation.
  • Exceptional written and verbal communication skills.
  • Ability to manage multiple projects efficiently and work collaboratively within a team.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar membership in a U.S. jurisdiction (preferably in Colorado).

Skills:

  • Expertise in executive compensation and employee benefits.
  • Strong negotiation and drafting skills, with attention to detail.
  • Ability to provide strategic legal advice in complex M&A transactions.
  • Excellent problem-solving abilities and a collaborative approach.
  • Knowledge of M&A-specific compensation structures and plans.
