Job Overview

A law firm seeks an experienced Finance & Restructuring Counsel to advise financial institutions and corporate trust clients on a variety of complex financial transactions. This role involves negotiating and drafting key agreements related to structured finance, municipal debt, and corporate debt transactions. The ideal candidate will have a strong background in finance law, the ability to work independently on high-value transactions, and a collaborative mindset.

Duties

  • Provide strategic legal counsel on structured finance, municipal debt, and corporate debt transactions.
  • Draft, review, and negotiate a variety of financial and transactional agreements, including trust indentures, loan agreements, agency and custodial contracts, servicing agreements, and non-disclosure agreements.
  • Ensure regulatory compliance in financial transactions and advise clients on risk mitigation strategies.
  • Oversee multiple financial transactions simultaneously with attention to accuracy and efficiency.
  • Manage and mentor junior attorneys and legal staff.
  • Collaborate with internal legal teams and external stakeholders to provide comprehensive financial legal solutions.

Requirements

  • At least seven years of experience in finance and restructuring law.
  • Strong expertise in structured finance, corporate trust, and financial services transactions.
  • Proven ability to draft, analyze, and negotiate complex financial agreements.
  • Excellent legal research, writing, and analytical skills.
  • Ability to manage multiple assignments with minimal supervision.
  • Leadership experience with a track record of mentoring attorneys and legal staff.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active law license in at least one U.S. jurisdiction.

Skills

  • In-depth knowledge of finance and restructuring law.
