Job Overview

A leading law firm is seeking an experienced Corporate Associate to join its Mergers & Acquisitions/Private Equity practice. The ideal candidate will have at least 2 years of experience in M&A and/or private equity law. This position provides an exciting opportunity to work with a dynamic team on sophisticated M&A and private equity transactions, advising clients on high-profile deals across various industries.

Duties

  • Advise clients on mergers, acquisitions, private equity investments, and related transactions.
  • Draft and negotiate transactional documents, including purchase agreements, financing documents, and ancillary agreements.
  • Conduct due diligence and assist in managing transaction processes.
  • Collaborate with senior associates and partners to provide strategic advice to clients.
  • Manage aspects of client relationships and provide effective legal counsel.

Requirements

  • Minimum of 2 years of experience in M&A or private equity law.
  • Strong understanding of corporate law and transactional practices.
  • Ability to work independently and manage multiple projects simultaneously.
  • Excellent written and verbal communication skills.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Admission to the State Bar (California or Texas, depending on the office location).

Skills

  • Strong drafting and negotiation skills, especially in M&A and private equity transactions.
  • Attention to detail and ability to handle complex legal issues.
  • Strong organizational and project management skills.
  • Ability to collaborate effectively with a team and manage client expectations.
