Job Overview:
A prestigious law firm located in New York City, NY, is seeking a highly skilled Associate Attorney with 4-6 years of experience in complex credit fund formation and insurance solutions for private fund sponsors. The successful candidate will join a dynamic team that works with global asset managers and sponsors on structuring and forming complex credit private funds and structured credit funds. Duties:

• Assist in structuring and forming complex credit private funds, including rated note funds and captive CLO equity manager originator structures.
• Draft and negotiate private fund documentation, such as private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, and regulatory filings.
• Manage the full lifecycle of fundraises, from launch to close, including client interface, investor negotiations (side letter negotiation), and overseeing the subscription process and closing mechanics.
• Provide multi-dimensional advice on compliance and post-establishment fund matters.
• Stay updated on regulatory changes in private fund formation and structured products, attending industry trade group meetings and speaking with market professionals.

Requirements:

• 4-6 years of experience in complex credit fund formation and insurance solutions for private fund sponsors.
• Significant exposure to private credit or CLOs is a plus.
• Strong experience in managing the entire fundraising process, including client interactions and investor negotiations.
• Comprehensive understanding of the Investment Advisers Act and federal securities laws, including Regulation D offering requirements and exemptions under the Investment Company Act.
• Previous experience working in a large law firm environment.

Education:

• J.D. from an accredited law school.

Certifications:

• Licensed to practice law in the state of New York.
