Job Overview: A law firm is seeking a highly skilled Corporate Mergers and Acquisitions Private Equity Associate Attorney to join its team in Austin, TX. The ideal candidate will have 4-6 years of substantive experience in mergers and acquisitions (M&A) and private equity transactions, particularly within an Am Law 100 firm environment. The candidate must demonstrate excellent writing and analytical skills, possess a solid academic background, and be admitted to the Texas Bar.

Key Responsibilities:

  • Handle all aspects of mergers and acquisitions, including due diligence, negotiation, drafting, and closing transactions.
  • Advise private equity clients on a wide range of transactional matters.
  • Prepare and review complex agreements, including purchase agreements, investment agreements, and shareholder agreements.
  • Conducted and coordinated legal, due diligence for corporate transactions.
  • Provide strategic legal advice to clients on corporate governance and compliance issues.
  • Collaborate with other attorneys and legal professionals in multi-disciplinary teams.
  • Maintain up-to-date knowledge of industry trends and legal developments related to M&A and private equity.

Requirements:

  • 4-6 years of experience in mergers and acquisitions and private equity transactions in an Am Law 100 firm.
  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Admission to the Texas Bar is mandatory.
  • Demonstrated ability to manage multiple complex transactions simultaneously.
  • Proven track record of providing strategic legal counsel and effectively handling high-stakes matters.
  • Excellent writing and analytical skills.
  • Strong interpersonal and communication skills, with the ability to build and maintain client relationships.

Education:
