Job Overview:
A law firm is seeking an experienced Nonprofit Corporate Attorney to join its team. The position involves working on complex matters related to nonprofit organizations, including advising on formation, compliance, and governance. This role also involves structuring and negotiating business transactions, such as mergers and joint ventures. Location:

  • San Diego, CA

Duties:

  • Advise nonprofit organizations on formation, 501(c)(3) applications, and ongoing compliance requirements.

  • Structure and negotiate complex business transactions, including mergers, joint ventures, and strategic partnerships.

  • Draft and review corporate governance documents, including bylaws, board policies, and conflict of interest procedures.

  • Counsel boards of directors on fiduciary duties and best practices.

  • Manage state charitable registration and reporting requirements.

Requirements:

  • 2+ years of experience as a nonprofit corporate attorney.

  • Must be licensed to practice law in California.

  • Strong experience advising nonprofit organizations on governance, compliance, and regulatory issues.

  • Expertise in structuring and negotiating business transactions, including mergers and joint ventures.

  • Familiarity with 501(c)(3) applications and compliance processes.

  • Proven ability to provide strategic legal advice to nonprofit organizations and their boards.

  • Excellent written and verbal communication skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Must be a member of the California State Bar.

Skills:

  • Expertise in nonprofit corporate law and business transactions.

  • Strong knowledge of nonprofit governance, 501(c)(3) applications, and regulatory compliance.

  • Excellent drafting, negotiation, and communication skills.

  • Ability to work independently and in a team-oriented environment.
