The ideal candidate will possess extensive knowledge in corporate law and tax matters, with the ability to provide comprehensive legal advice and support to businesses. This role requires a strategic thinker with strong analytical skills who can manage complex transactions and deliver expert counsel on corporate and tax-related issues.

Responsibilities:

  • Provide expert legal advice and counsel on a wide range of corporate and tax matters, including entity formation, mergers and acquisitions, and corporate governance.
  • Assist clients with tax planning and compliance, ensuring adherence to federal, state, and local tax regulations.
  • Draft, review, and negotiate complex contracts, including shareholder agreements, partnership agreements, and other business-related documents.
  • Manage and execute business transactions, including mergers, acquisitions, and joint ventures, ensuring all legal aspects are handled effectively.
  • Conduct thorough legal research to support case strategy, staying informed on changes in tax laws and corporate regulations.
  • Advise clients on tax implications of various business strategies and transactions, helping to minimize tax liabilities.
  • Collaborate with other attorneys, accountants, and financial professionals to deliver integrated solutions to clients.
  • Represent clients in negotiations, mediations, and, if necessary, litigation concerning corporate and tax matters.
  • Ensure compliance with all relevant laws and regulations, providing ongoing legal support to businesses on operational and strategic issues.

Requirements:

  • Experience: 5-10 years of experience in corporate law and tax, with a strong background in business transactional and advisory practices.
  • Bar Admission: Must have active Bar admission and be in good standing.
  • Skills:
    • Extensive knowledge of corporate law and tax regulations.
    • Strong analytical and problem-solving skills.
    • Excellent written and verbal communication skills.
    • High attention to detail and the ability to manage complex transactions.
    • Strong negotiation skills and the ability to represent clients effectively.
