  • Prepare and file entity formation documents, including articles of incorporation and organizational bylaws.
  • Manage and support capital raise activities, including private placements and venture capital transactions.
  • Handle mergers and acquisitions, including due diligence, drafting transaction documents, and overseeing closing procedures.
  • Provide strategic legal advice on corporate governance, compliance, and risk management.
  • Conduct legal research and analysis to support corporate transactions and business decisions.
  • Collaborate with clients and internal teams to address legal issues and provide solutions.
  • Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.

Requirements:

  • Minimum of 3 years of focused experience in business, corporate, and transactional law.
  • Proven experience in drafting and negotiating complex agreements and contracts.
  • Strong background in entity formation, capital raises, and mergers and acquisitions.
  • Excellent drafting skills with the ability to produce clear and concise legal documents.
