Transactions Associate Attorney

Job Overview:
A well-established law firm located in Dallas, TX, is looking to add a highly skilled and motivated Transactions Associate Attorney to their team. This role will focus on a range of M&A and securities matters, both domestic and international, primarily serving middle-market and upper-middle-market companies, as well as private equity firms. The ideal candidate will thrive in a collaborative environment, working closely with senior attorneys and clients, and demonstrating strong legal acumen in complex corporate transactions.

Duties:

  • Represent clients in a broad array of corporate matters, including mergers and acquisitions, financings, corporate governance, securities, and other commercial transactions.
  • Draft and review transaction documents, agreements, and legal correspondence.
  • Conduct legal research and assist with the preparation of legal strategies for corporate clients.
  • Work closely with partners, senior associates, and clients to manage and execute deals.
  • Provide clear, practical legal advice and manage client relationships effectively.
  • Collaborate within a dynamic and energetic team environment.
  • Ensure compliance with all relevant legal regulations and industry standards.

Requirements:

  • 3-7 years of relevant experience in corporate law, particularly M&A and securities.
  • Strong document drafting, communication, and interpersonal skills.
  • Experience working on US and international transactions.
  • Comfortable working in a team-based environment with direct interaction with senior attorneys and clients.
  • Demonstrated ability to handle complex corporate transactions effectively.
  • Positive attitude and a strong work ethic, with a focus on professional development.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.
  • Active member in good standing of the Bar in the jurisdiction(s) where the candidate is admitted to practice.
  • Timely admission to the Texas Bar will be required.

Certifications:

  • Bar admission in the state of Texas (or commitment to apply for Texas Bar membership upon hire).

Skills:

  • Expertise in mergers & acquisitions, securities, corporate governance, and commercial transactions.
  • Excellent verbal and written communication skills.
  • Ability to work well under pressure and manage multiple responsibilities simultaneously.
  • Strong interpersonal skills and the ability to build and maintain client relationships.
  • High level of attention to detail and critical thinking.
