Job Overview: A national search is underway for a Corporate Associate Attorney with at least three years of relevant experience to join a highly regarded corporate practice. This role offers significant responsibility and the opportunity to work on a diverse range of corporate transactions, including private equity, mergers and acquisitions (M&A), and capital markets. The ideal candidate will have experience supervising due diligence, drafting and negotiating acquisition agreements, and managing transaction closings. The position provides the opportunity to collaborate with partners and clients across various industries.

Location:

  • New York City, NY

Duties:

  • Supervise and conduct due diligence in corporate transactions.
  • Draft and negotiate acquisition agreements and other related transaction documents.
  • Manage and facilitate the closing of transactions.
  • Collaborate with partners and clients on private equity, M&A, and capital markets deals.
  • Work across a variety of industries, gaining exposure to diverse corporate matters.
  • Take on significant responsibility in the management and execution of transactions.

Requirements:

  • Minimum of 3 years of relevant experience in corporate law.
  • Strong experience in supervising due diligence, drafting acquisition agreements, and closing transactions.
  • Proven ability to manage multiple complex transactions simultaneously.
  • Excellent analytical skills and attention to detail.
  • Strong interpersonal skills and the ability to work effectively in a team environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the Bar in the jurisdiction of practice.

Skills:

  • Expertise in corporate transactions, including private equity, M&A, and capital markets.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage high levels of responsibility and work independently.
  • Excellent communication and client management abilities.
  • Team-oriented with a strong desire for collaboration and professional development.
