Job Overview:
A prominent law firm is seeking a mid-level associate to join its esteemed Private Equity Group in San Francisco office. This role requires a candidate with at least four years of experience advising private equity firms and their portfolio companies on complex transactions. The position offers the opportunity to handle a wide range of matters, including mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters.

Duties:

  • Advise private equity firms and portfolio companies on a variety of complex transactions, including mergers, acquisitions, leveraged buyouts, and equity investments
  • Provide legal guidance on general corporate matters
  • Draft, review, and negotiate transaction documents
  • Manage transaction closings and oversee the due diligence process
  • Collaborate with internal teams to develop strategic solutions for clients
  • Support senior attorneys with complex transactional matters
  • Communicate and liaise effectively with clients and stakeholders
  • Perform legal research and provide detailed analysis on relevant issues
  • Ensure compliance with applicable laws and regulations in all transactions

Requirements:

  • Minimum 4 years of experience in private equity transactions
  • Experience with mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters
  • Experience at an AmLaw 100 law firm or SEC experience is preferred
  • Strong analytical skills and attention to detail
  • Excellent organizational and time-management skills
  • Ability to work collaboratively in teams as well as independently
  • Ability to manage complex tasks and meet deadlines

Education:

  • J.D. from an accredited law school

Certifications:

  • Admitted to practice in California
