Job Overview:
A highly reputable law firm in Dallas, TX, is seeking a talented Fund Formation Associate Attorney with experience in corporate and private equity transactions. This role involves working on various fund formation matters, including structuring, capital raising, compliance, and ongoing management of investment funds. The ideal candidate will have strong drafting and negotiation skills and be able to independently manage clients and transactions.

Duties:

  • Involvement in all aspects of fund formation, including structuring, capital raising, compliance, and management for private equity, real estate, mezzanine, hedge funds, and hybrid funds.
  • Assist with related capital raising transactions, including joint ventures and equity investment processes for independent sponsors.
  • Draft and review limited partnership agreements and limited liability company agreements in the context of private investment funds.
  • Provide counsel on market fund terms and issues commonly negotiated during the fund offering process.
  • Assist institutional investors by reviewing fund documents and identifying key issues.
  • Prepare offering documents, including Private Placement Memoranda (PPMs).
  • Advise on Regulation D and other relevant securities laws governing private placements.
  • Offer guidance on the Advisers’ Act and related exemption, registration, and compliance matters for fund managers.
  • Support clients and colleagues throughout the transaction lifecycle, from inception through closing.

Requirements:

  • 3-4 years of experience in a large law firm handling private fund sponsor and institutional investor matters.
  • Primary drafting experience for fund-related agreements.
  • Deep understanding of fund terms and issues negotiated during offerings.
  • Experience with fund document review for institutional investors.
  • Knowledge of Regulation D, securities laws, and the Advisers' Act related to private placements.

Education:

  • Juris Doctor (JD) from an accredited law school with a strong academic record.

Certifications:

  • Licensed to practice law and in good standing with the Texas State Bar.

Skills:

  • Strong drafting, negotiation, and analytical skills.
  • Excellent oral and written communication abilities.
  • Ability to work independently and collaborate with clients and legal teams.
  • Strong interpersonal skills, with the capability to advise both legal and business professionals.
