Job Overview:

A law firm is seeking a Mid-Level Associate for its Private Equity and Mergers & Acquisitions (M&A) practice in New York. This position is ideal for candidates with at least four years of experience in M&A and/or private equity transactional work. The successful candidate will have experience representing both financial sponsors and strategic buyers/sellers in complex transactions, including leveraged buyouts, sell-side transactions, growth equity, and minority investments. The role offers the opportunity to work in a fast-paced environment with top-tier clients.

Location:

  • New York, NY

Duties:

  • Represent financial sponsors and strategic buyers/sellers in M&A and private equity transactions.

  • Work on leveraged buyouts, sell-side transactions, growth equity, and minority investments.

  • Draft, review, and negotiate transaction documents.

  • Provide strategic advice to clients on complex legal and business issues related to M&A and private equity.

  • Collaborate with senior attorneys and manage aspects of deals from start to finish.

  • Ensure compliance with relevant legal and regulatory requirements.

  • Handle client communications and manage relationships with clients, opposing counsel, and other stakeholders.

Requirements:

  • At least four years of experience in M&A and/or private equity transactional work in a top-tier law firm.

  • Strong transactional experience, including leveraged buyouts, growth equity, minority investments, and sell-side transactions.

  • Excellent research, writing, and communication skills.

  • Strong attention to detail and ability to manage complex transactions.

  • Ability to work independently and as part of a team.

  • Must be admitted to the New York Bar.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the New York State Bar is required.

Skills:

  • Strong transactional experience in M&A and private equity.

  • Proficient in drafting and negotiating complex transaction documents.

  • Ability to manage multiple deals simultaneously and prioritize tasks.

  • Exceptional communication and client management skills.

  • Strong research and analytical skills.
