Job Overview: A prestigious law firm is seeking a Corporate Associate Attorney with a strong background in mergers and acquisitions (M&A) and private equity transactions. This role requires a highly skilled professional with 3-7 years of experience handling complex corporate matters. The successful candidate will join a dynamic and collaborative team, contributing to high-profile transactions and providing strategic counsel to clients in various industries. Duties:

  • Advise clients on a wide range of M&A and private equity transactions, including structuring, negotiating, and drafting deal documents.
  • Provide legal counsel on complex corporate matters, ensuring compliance with relevant laws and regulations.
  • Collaborate with internal teams and clients to deliver innovative solutions for sophisticated corporate transactions.
  • Conduct in-depth legal research and analysis, offering clear and actionable insights to clients.
  • Assist in managing client relationships, offering proactive and strategic guidance to help achieve business objectives.
  • Draft, review, and negotiate corporate documents, including mergers and acquisition agreements, private equity financing, and related documents.
  • Support business development efforts by contributing to proposals and client presentations.

Requirements:

  • 3-7 years of experience in corporate law, specifically in mergers and acquisitions and private equity.
  • Strong proficiency in structuring, negotiating, and drafting complex transactions and agreements.
  • Experience with high-profile corporate clients and transactions, ideally with an Am Law 100 firm.
  • Excellent writing and analytical skills, with a strong attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment and work collaboratively in a team setting.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • FL Bar admission or eligibility to obtain admission promptly.

Skills:

  • Outstanding legal research, writing, and analytical capabilities.
  • Expertise in corporate transactions, M&A, and private equity.
  • Strong communication skills, both written and verbal, with the ability to engage with clients and colleagues effectively.
  • High level of attention to detail and the ability to manage complex legal matters.
