A law firm in New York City is seeking a Capital Markets Associate Attorney to join their team. The candidate will be responsible for handling a variety of legal matters related to company formation, private company equity and debt financing, mergers and acquisitions, and U.S. securities law. Strong academic credentials and law firm experience are essential for this role.

 

Duties:

  • Handle legal matters related to company formation, private company equity and debt financing, mergers and acquisitions, and U.S. securities law.
  • Conduct legal research and analysis on complex capital markets issues.
  • Draft and review transactional documents, including offering memoranda, securities filings, and merger agreements.
  • Assist in due diligence reviews for capital markets transactions.
  • Collaborate with internal teams and external parties to ensure compliance with regulatory requirements and industry standards.
  • Provide legal advice and guidance to clients on capital markets transactions.
  • Manage client relationships and communicate effectively with clients and stakeholders.

 

Requirements:

  • 3 years of experience in capital markets transactions or related practice areas.
  • Outstanding academic credentials and law firm experience.
  • Client management skills and ability to work in a team environment.
  • Admitted to practice and in good standing in New York.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Skills:

  • Strong understanding of capital markets transactions and U.S. securities law.
  • Excellent legal research, writing, and analytical skills.
  • Ability to manage multiple tasks and deadlines effectively.
  • Strong attention to detail and accuracy in work product.
  • Effective communication and negotiation skills.
