A law firm in Houston is seeking a Mid to Senior level Corporate Securities Associate Attorney with significant experience in SEC and financial reporting matters. The candidate will play a pivotal role in advising clients on a wide range of corporate and securities law issues, including securities offerings, mergers & acquisitions, corporate governance, and SEC compliance.

Duties:

  • Lead or play a primary role in SEC and financial reporting matters for key clients.
  • Represent public and private companies in general corporate and securities law matters.
  • Advise clients on SEC disclosure, reporting, and compliance requirements.
  • Participate in securities offerings, including public and private equity offerings and debt issuances.
  • Handle corporate governance matters, including board meetings and executive compensation.
  • Manage client relationships and provide strategic legal advice.

Requirements:

  • U.S. Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to practice law in a U.S. State Bar and in good standing.
  • 5+ years of experience in a law firm or with a large public company.
  • Extensive knowledge of 34 Act compliance reviews and SEC regulations.
  • Experience in public and private debt and equity offerings, proxy statement preparation, and annual meeting management.
  • Strong understanding of executive compensation and equity plan matters is beneficial.
  • Demonstrated ability to lead complex legal matters independently.
  • Excellent verbal and written communication skills with strong attention to detail.
  • Proactive and positive attitude with the ability to work under pressure.

  • Proficiency in SEC reporting and compliance, including securities law disclosures.
  • Ability to manage multiple assignments and prioritize tasks effectively.
  • Strong analytical skills to address sophisticated legal issues.

Education and Certifications:
