Job Overview:

A law firm is seeking a highly skilled Associate Attorney with extensive experience in leveraged finance, credit transactions, and cross-border financings, particularly between Canada and the U.S. The successful candidate will represent large financial institutions, including central banks, underwriters, and direct lending credit funds. This role involves negotiating legal documentation, managing transactions from start to finish, and mentoring junior associates. The Associate Attorney will work outside the firm's New York City office.

Duties and Responsibilities:

  • Provide legal advice on sophisticated leveraged finance and credit transactions focusing on Canada-U.S. cross-border financings and restructuring.
  • Represent large financial institutions, including banks, underwriters, and direct lending credit funds.
  • Negotiate legal documentation and strategies with clients and opposing counsel.
  • Manage and oversee bank lending, direct lending, and restructuring transactions from initiation to completion.
  • Review and critique junior associates’ work products related to legal documentation.
  • Assist in structuring guarantor and collateral packages across multiple jurisdictions.
  • Develop and maintain client relationships, including attending client events.
  • Conduct interviews and provide mentorship to junior and summer associates.

Requirements:

  • Juris Doctor (JD) degree or foreign equivalent.
  • At least 2 years of experience in the job offered or with a major law firm representing large banks and financial institutions.
  • Experience must include:
    • Advising and working with large banks and financial institutions.
    • Reviewing, drafting, and negotiating corporate lending, restructuring, and work-out documentation (e.g., term sheets, credit agreements, security documents, forbearance agreements, inter-creditor arrangements, refinancing documents, payoff documents).
    • Working with local counsel in foreign jurisdictions on cross-border transactions and structuring collateral arrangements.
    • Reviewing and analyzing due diligence information and various commercial agreements, including acquisition agreements.
  • Must be licensed to practice law in New York or eligible for admission within nine months of employment.

Education and Certifications:

  • Juris Doctor (JD) degree or foreign equivalent.
  • Must be licensed to practice law in New York or eligible for admission within 9 months.

Skills:

  • Expertise in leveraged finance and credit transactions, particularly in cross-border contexts.
  • Strong negotiation skills and ability to manage complex legal documentation.
  • Proficiency in structuring collateral and guarantor packages.
  • Experience in mentoring and reviewing junior associates’ work.
  • Excellent client relationship management skills.
  • Ability to work collaboratively with local counsel and manage multi-jurisdictional transactions.
