Job Overview:
A leading law firm is seeking a mid-level corporate associate to join its practice in San Diego, Washington DC, New York, or Miami. This associate will focus on public company reporting and compliance, corporate governance, and capital markets. The ideal candidate will have strong experience working with public companies and a deep understanding of securities law, including regulations such as the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/NYSE listing requirements.

Location:

  • Miami, FL

Duties:

  • Advise clients on public company reporting and compliance, including Section 13 and Section 16 filings.
  • Manage corporate governance matters, such as proxy statements and periodic reporting.
  • Support capital markets transactions, including IPOs, follow-on offerings, and private placements.
  • Provide day-to-day support for large cap and mid-cap public companies, assisting with regulatory filings and compliance.
  • Work closely with internal teams to ensure adherence to securities laws and corporate governance standards.
  • Assist in strategic legal advice regarding regulatory matters and corporate governance.

Requirements:

  • Minimum 3 years of capital markets experience.
  • Experience working with large cap and mid-cap public companies.
  • Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Familiarity with Nasdaq and New York Stock Exchange listing and governance requirements.
  • Previous experience in an AmLaw 100 law firm is preferred.
  • Ability to manage multiple projects in a fast-paced, high-pressure environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in the jurisdiction of the office location.

  • Good business judgment with the ability to work both independently and collaboratively.
  • Demonstrated oral and written communication skills.
