Corporate Associate Attorney

A law firm in New York City is seeking a talented Corporate Associate Attorney to join their Corporate group and Nonprofit Organizations team. The ideal candidate will have 3-5 years of experience advising nonprofit organizations on tax, corporate, and charitable trust issues unique to tax-exempt and nonprofit entities. Attorneys with a demonstrated interest in nonprofit organizations and experience in political law, corporate law, or tax law, including corporate and partnership tax, employee benefits, or trusts and estates, are encouraged to apply.

Duties

• Provide legal counsel to nonprofit organizations on a range of issues including corporate governance, tax compliance, and charitable trust matters.
• Advise on formation, operation, and dissolution of nonprofit entities, including compliance with federal and state regulations.
• Handle complex legal issues related to corporate and partnership tax, employee benefits, and trusts and estates.
• Draft, review, and negotiate contracts, agreements, and other legal documents.
• Conduct legal research and prepare memoranda on complex legal issues affecting nonprofit organizations.
• Represent clients in dealings with regulatory agencies and in disputes related to nonprofit governance and compliance.
• Collaborate with clients to develop and implement strategies for compliance with applicable laws and regulations.
• Stay current on changes in laws and regulations affecting nonprofit organizations and provide updates and guidance to clients.
• Participate in business development activities to foster new client relationships and enhance the firm's reputation in the nonprofit sector.

Requirements

• 3-5 years of legal experience in private practice, with a focus on advising nonprofit organizations.
• Experience with tax, corporate, and charitable trust issues specific to tax-exempt and nonprofit organizations.
• Demonstrated interest in advising nonprofit organizations and experience in political law, corporate law, or tax law is preferred.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active Bar License in good standing in New York (or willingness to obtain if relocating).
