Job Overview:
A prestigious law firm is seeking an exceptional corporate debt finance associate with 3+ years of experience to join its Los Angeles office. The ideal candidate will have a solid understanding of debt/finance concepts and experience in acquisition and bilateral financing arrangements, including first lien, second lien, syndicated financings, and real estate financing. The role involves working with middle-market clients and representing them in various corporate transactions. A strong focus on drafting, reviewing, and revising credit agreements and loan documentation is essential.

Location:

  • Los Angeles, CA

Duties:

  • Represent clients in corporate debt finance transactions, including acquisition and bilateral financing, syndicated financings, and real estate financing.
  • Draft, review, and revise credit agreements and related loan documentation.
  • Work closely with middle-market clients on a variety of mid-market and upper middle-market corporate transactions.
  • Collaborate with corporate finance and M&A teams on distressed financing and other finance-related matters.
  • Provide legal advice and solutions tailored to the financial needs of clients across various industries.
  • Contribute to expanding the practice and supporting business development efforts.

Requirements:

  • 3+ years of experience in corporate debt finance, including familiarity with secured transactions and debt finance structures.
  • Strong experience drafting and revising credit agreements and related loan documentation.
  • Ability to manage multiple transactions simultaneously while maintaining high attention to detail.
  • Excellent written, interpersonal, and communication skills.
  • A motivated, proactive approach to work with the finance group to further expand the practice.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Admission to the State Bar in California.

Skills:

  • Expertise in debt/finance concepts, including first lien, second lien, syndicated financings, and real estate financing.
  • Experience with acquisition financing and related corporate transactions.
  • Strong drafting and review skills related to credit agreements and loan documentation.
  • Excellent analytical, organizational, and communication skills.
  • Ability to work independently and as part of a collaborative team.
