Duties:

  • Handle all aspects of complex transactions, including mergers and acquisitions, joint ventures, and corporate restructurings.
  • Draft and negotiate various corporate contracts such as operating agreements, license agreements, service contracts, buy/sell agreements, and distribution agreements.
  • Assist clients with corporate governance and compliance, including advising on corporate finance transactions (secured and unsecured lending).
  • Conduct legal research and analysis, providing thorough guidance to clients.
  • Manage transaction closings, ensuring compliance with relevant laws and regulations.
  • Advise clients on corporate structure and risk management throughout their business lifecycle.
  • Engage directly with clients to provide legal and business advice on complex matters.

Requirements:

  • 5-8 years of experience practicing corporate transactional law.
  • Proficiency in drafting purchase and sale agreements, operating agreements, and disclosure schedules.
  • Experience in drafting and reviewing loan and security agreements, as well as other financing documents, is highly desirable.
  • Strong analytical, communication, and interpersonal skills.
  • Ability to work collaboratively with a team while handling individual responsibilities.
  • Licensed to practice law in Colorado or Illinois, or eligible for admission via UBE score or upcoming bar exam.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active law license in Colorado, Illinois, or eligibility for admission via UBE score.

Skills:

  • Expertise in corporate transactions, mergers and acquisitions, and corporate governance.
  • Strong drafting, negotiation, and research skills.
  • Ability to manage multiple transactions and deadlines simultaneously.
  • Exceptional communication and client interaction abilities.
