A law firm in Raleigh, NC, is seeking an experienced Commercial Finance Associate Attorney with 4-6 years of practice in handling complex commercial finance transactions. The ideal candidate should possess knowledge of commercial finance transactions, the Uniform Commercial Code (UCC), secured transactions, and have demonstrated experience in drafting and negotiating loan documentation. Experience in leveraged finance and representing diverse clients such as borrowers, lenders, private equity sponsors, and agents across various finance transactions is highly desirable.

Job Duties:

  • Drafting, reviewing, and negotiating a wide range of finance-related agreements, including loan agreements, credit agreements, security agreements, and ancillary documents.
  • Conducting due diligence, analyzing financial documents, and preparing reports for clients.
  • Advising clients on legal and regulatory compliance issues related to finance transactions.
  • Collaborating with clients and internal teams to strategize and execute finance transactions effectively.
  • Providing legal support in the structuring, documentation, and closing of complex finance deals.
  • Managing and maintaining client relationships throughout the lifecycle of transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar and in good standing in the state of North Carolina.
  • 4-6 years of progressive experience practicing law with a focus on commercial finance transactions.
  • Strong understanding of UCC Article 9 and other relevant laws and regulations.
  • Excellent communication, negotiation, analytical, and writing skills.
  • Ability to work independently with minimal supervision and collaboratively within a team environment.
  • Creative problem-solving abilities and a proactive, solutions-oriented approach.

Preferred Skills:

  • Experience in leveraged finance transactions and structured finance.
  • Familiarity with syndicated lending and asset-based lending.
  • Demonstrated ability to manage multiple priorities and deadlines effectively.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of North Carolina.
