Job Overview: A law firm in Houston, TX, is seeking a talented Private Equity and Mergers and Acquisitions Associate Attorney with 3-6 years of experience to join our dynamic team. The ideal candidate will have substantial experience handling complex M&A transactions and providing strategic counsel to private equity sponsors and various companies.

  • Duties:

    • Represent private equity sponsors and private and public companies in mergers, acquisitions, divestitures, and other investment transactions.
    • Draft, review, and negotiate transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements.
    • Conduct due diligence reviews and coordinate with internal and external specialists on legal, financial, and regulatory matters.
    • Manage deal teams, including junior associates and paralegals, to ensure efficient progress of transactions.
    • Advise clients on corporate governance matters and provide strategic legal guidance throughout the transaction lifecycle.
    • Assist in preparing board and shareholder resolutions, consents, and other corporate documents.
  • Requirements:

    • Juris Doctor (J.D.) degree from an accredited law school.
    • Admission to the Texas State Bar (or ability to become admitted promptly).
    • 3-6 years of experience in a reputable law firm handling private equity and M&A transactions.
    • Proven track record of drafting and negotiating complex transactional documents.
    • Strong understanding of corporate finance, securities laws, and regulatory compliance.
  • Skills:

    • Exceptional analytical and problem-solving abilities.
    • Excellent written and verbal communication skills.
    • Ability to manage multiple priorities and work effectively under pressure.
    • Team-oriented mindset with strong leadership capabilities.
    • Attention to detail and commitment to delivering high-quality work product.
  • Preferred Certifications:

    • Certification in Corporate Law or related field (preferred).
