Job Title: Senior Corporate Counsel

Job Overview: A prestigious law firm located in San Antonio, TX, is seeking a highly experienced Senior Corporate Counsel to join its dynamic and expanding corporate and securities practice. The ideal candidate will bring a deep knowledge of corporate law and securities, providing high-level counsel on a variety of complex legal matters, including mergers and acquisitions, private equity investments, entity structuring, and commercial contracts. Duties:

  • Advise and manage complex corporate transactions, including mergers, acquisitions, and private equity investments.
  • Handle entity structuring, joint ventures, and recapitalization efforts.
  • Draft, review, and negotiate commercial contracts and finance agreements.
  • Assist clients with private offerings of securities.
  • Provide legal counsel to real estate investment companies (a plus but not required).
  • Maintain effective communication with clients, partners, and associates.
  • Stay updated on corporate and securities law trends and ensure compliance.

Requirements:

  • Minimum of 7 years of corporate law experience, specifically in mergers and acquisitions, private equity, and securities.
  • Demonstrated ability to work independently and manage multiple complex projects.
  • Experience advising real estate investment companies is a bonus but not mandatory.
  • Strong attention to detail with excellent oral and written communication skills.

Education:

  • Juris Doctor degree.
  • Licensed to practice law in the State of Texas.

Certifications:

  • Must have an active law license in the State of Texas.

Skills:

  • Proficiency in corporate law and securities regulations.
  • Strong analytical and problem-solving skills.
  • Ability to draft and negotiate complex legal documents.
  • Excellent written and oral communication abilities.
