A law firm is seeking an experienced Real Estate Associate Attorney to join its Washington, DC office. The ideal candidate will have 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and/or commercial mortgage-backed securities (CMBS). This role demands excellent academic credentials, as well as strong verbal, writing, and interpersonal skills to effectively manage complex real estate transactions and provide top-tier legal counsel.

Key Responsibilities:

  • Represent clients in various real estate financing transactions, including drafting, negotiating, and reviewing loan agreements, mortgages, and related security documents.
  • Provide expert legal advice to lenders on complex financing arrangements, focusing on co-lender and intercreditor agreements.
  • Manage transactions involving commercial mortgage-backed securities (CMBS), ensuring adherence to regulatory requirements and industry standards.
  • Conduct detailed due diligence for real estate transactions, including title examinations, survey reviews, and environmental assessments.
  • Draft and revise essential legal documents such as promissory notes, deeds of trust, security agreements, and related real estate documentation.
  • Offer strategic legal counsel on structuring, negotiating, and executing real estate finance transactions to align with client objectives.
  • Lead negotiations and coordinate with clients, opposing counsel, and other stakeholders to facilitate successful transaction closings.
  • Oversee the closing process of real estate transactions, ensuring all legal and financial aspects are meticulously handled.
  • Stay current with developments in real estate law, financing trends, and regulatory changes to provide informed legal advice.
  • Address post-closing issues and offer ongoing support to clients concerning real estate financing and compliance matters.

Requirements:

  • Experience: 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and CMBS transactions.
  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Bar Admission: Licensed to practice law in Washington, DC, or eligible for admission.
  • Academic Credentials: Strong academic performance required.

Certifications:

  • Active and in good standing with the Washington, DC Bar or eligible for waiver.

Skills:

  • Expertise in legal drafting, research, and analysis related to real estate finance and CMBS.
  • Excellent communication skills, both verbal and written, with the ability to convey complex legal concepts clearly.
  • Proficient in negotiating and managing complex real estate transactions and financial agreements.
  • Strong organizational skills with the ability to handle multiple, high-priority projects simultaneously.
  • Ability to work independently and collaboratively within a team, providing strategic and effective legal solutions.
  • High level of professionalism, attention to detail, and commitment to delivering exceptional client service.

Preferred Qualifications:

  • Familiarity with Washington, DC real estate laws and local market practices is advantageous.
