A law firm is seeking a Mid-Level Commercial and Technology Contracts Associate Attorney to join their team in Birmingham, AL. This role focuses on drafting, reviewing, and negotiating a variety of business-to-business commercial contracts. The ideal candidate will bring 3-5 years of relevant experience and a comprehensive understanding of commercial and technology agreements.

Duties:

  • Draft, review, and negotiate business-to-business commercial contracts including terms of sale/purchase, vendor and procurement contracts, consulting services, supply, manufacturing, distribution, and logistics agreements.
  • Handle technology-related agreements such as SaaS, software licensing, software development, and IT services.
  • Ensure compliance with relevant laws and regulations.
  • Collaborate with clients to understand their needs and provide legal guidance.
  • Manage and prioritize multiple contract matters efficiently.

Requirements:

  • 3-5 years of relevant experience in commercial and technology contracts.
  • Familiarity with data privacy laws (e.g., CCPA, GDPR) and experience with data protection agreements is preferred.
  • Excellent contract drafting, analytical, and critical thinking skills.
  • Strong attention to detail and effective time management abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the state of Alabama.

Skills:

  • In-depth understanding of key commercial contract provisions including Limitations of Liability, Indemnification, Representations & Warranties, Intellectual Property Rights, and Information Security.
  • Strong negotiation and communication skills.
