A law firm seeks a skilled and motivated midlevel associate to join its Tax practice in Palo Alto, CA. This full-time position requires 3 to 5 years of transactional tax experience, particularly in matters related to corporate and fund transactions. The ideal candidate will be adept at representing both public and private companies, private funds, portfolio entities, and alternative investment vehicles in complex tax matters involving fund formations, mergers, acquisitions, and similar transactional work. The role offers the opportunity to engage with high-profile clients and contribute to the development of innovative tax strategies.

Duties:

  • Provide tax counsel for a wide range of transactional matters, including mergers and acquisitions, fund formations, and limited partner investments
  • Work with clients in both the public and private sectors, as well as private equity firms and other alternative investment vehicles
  • Prepare and review tax structuring documents, agreements, and related materials
  • Manage multiple, high-priority transactions simultaneously while maintaining attention to detail
  • Offer strategic advice to clients on tax implications related to corporate structures, investments, and acquisitions
  • Collaborate with cross-functional teams, including lawyers from other practice areas and external advisors, to achieve clients' business objectives
  • Participate in client meetings and negotiations, providing clear and actionable tax advice
  • Draft and review legal memoranda, correspondence, and documents related to tax law

Requirements:

  • 3 to 5 years of experience in transactional tax law, particularly in corporate tax matters and fund formations
  • Proven ability to manage complex tax transactions and maintain client relationships
  • Strong negotiation, drafting, and communication skills
  • Ability to handle high-pressure situations and work independently
  • Must possess strong analytical skills and be able to provide creative solutions to complex issues
  • Ability to quickly learn and adapt to new areas of law and business structures
  • Active membership in the California Bar

Education:

  • J.D. from an accredited law school
  • A strong academic background is preferred

Certifications:

  • Active membership in the California State Bar is required

  • Strong knowledge of transactional tax law, including tax aspects of mergers and acquisitions, fund formations, and private equity structures
  • Excellent drafting and negotiation skills with attention to detail
