A law firm in Reading, PA is seeking a highly experienced Capital Markets & Securities Shareholder to join their team. The ideal candidate will have extensive expertise in SEC filings and compliance, capital markets transactions, mergers and acquisitions, corporate governance, and regulatory and operational matters. This role requires strong leadership skills and the ability to oversee complex legal matters in the securities law domain.

Duties:

  • Provide strategic legal advice and guidance on capital markets transactions, including public offerings, private placements, and securities offerings.
  • Manage SEC filings, ensuring compliance with regulatory requirements and disclosure obligations.
  • Advise on corporate governance matters, including board and committee practices, shareholder relations, and regulatory compliance.
  • Handle mergers, acquisitions, and divestitures, including due diligence, negotiation, and transaction structuring.
  • Address regulatory issues impacting clients, including securities laws, corporate finance regulations, and compliance matters.
  • Lead and mentor junior attorneys and legal staff, fostering a collaborative team environment.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in Pennsylvania or New Jersey.
  • Minimum of 10 years of experience practicing in the areas of capital markets, securities law, and corporate transactions.
  • Proven track record of successfully handling complex securities offerings and regulatory compliance matters.
  • Strong analytical and problem-solving skills with the ability to provide strategic legal advice.
  • Excellent communication and interpersonal skills, with the ability to interact effectively with clients and colleagues at all levels.
  • Demonstrated leadership experience, including managing legal teams and overseeing significant client matters.

Preferred Skills:

  • Certification or specialization in securities law or corporate governance.
  • Experience representing publicly traded companies or financial institutions.
  • Familiarity with Delaware corporate law and federal securities regulations.
