Job Overview: A leading law firm is seeking an experienced Lateral Associate Attorney to join its Asset Securitization Practice Group in New York. This role is ideal for a candidate with 2 to 5 years of experience in transactional work, corporate law, or finance law. The successful candidate will assist in advising clients on complex structured finance transactions, asset acquisition and sale, and related financing activities across various asset classes.

Location:

  • New York, New York

Duties:

  • Represent companies and financial institutions in financing activities
  • Advise clients on structured finance transactions, including debt and equity issues
  • Provide counsel on the acquisition or sale of portfolios of financial assets
  • Draft and negotiate offering documents, transaction documents, and financing statements
  • Represent parties involved in secured and unsecured credit facilities
  • Navigate complex commercial and securities law issues related to finance transactions
  • Manage financing transactions across a broad range of asset classes
  • Advise on capital markets transactions, ensuring compliance with applicable regulations

Requirements:

  • 2 to 5 years of experience in transactional work, corporate law, or finance law at a large or mid-size law firm, in-house legal department, or governmental agency
  • Strong understanding of commercial and securities law as it relates to finance transactions
  • Experience advising on debt and equity issues in capital markets transactions
  • Ability to draft, review, and negotiate complex legal documents
  • Strong academic credentials
  • Member in good standing with the New York State Bar
  • Ability to manage fast-paced transactions and multiple projects with competing deadlines
  • Strong client service orientation, interpersonal skills, and attention to detail

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the New York State Bar

Skills:

  • Expertise in asset securitization, structured finance, and related financial transactions
  • Strong drafting and negotiation skills, particularly in finance-related agreements and documents
  • Excellent analytical, oral communication, and writing skills
  • Ability to work effectively with clients and colleagues in a fast-paced, team-oriented environment
  • Deep understanding of business, industry, and market issues related to finance transactions
