Job Overview: A law firm seeks a Mid-Level Nonprofit And Associations Associate Attorney with a minimum of 4+ years of experience practicing in a law firm environment. The ideal candidate will possess legal expertise in representing tax-exempt organizations, with additional proficiency in contracts, governance, corporate structures, component/affiliate relations, licensing, membership programs, and lobbying. Admission to the Kentucky Bar is required.

Duties:

  • Provide legal counsel and representation to nonprofit organizations and associations.
  • Draft and review legal documents, including contracts, agreements, and governance documents.
  • Advise clients on corporate structures, compliance issues, and regulatory matters.
  • Handle component/affiliate relations, including mergers, acquisitions, and disaffiliations.
  • Assist in obtaining and maintaining tax-exempt status for clients.
  • Conduct legal research and analysis on relevant laws and regulations.
  • Represent clients in negotiations, mediation, and administrative proceedings.

Requirements:

  • Minimum 4+ years of legal experience in a law firm setting.
  • Proficiency in nonprofit law and tax-exempt organization representation.
  • Admission to the Kentucky Bar.
  • Strong understanding of corporate governance principles.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and collaboratively within a team environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Kentucky Bar.
