Franchise Of Counsel - Transactional

A law firm seeks an experienced attorney to serve as Of Counsel within its Franchise & Distribution practice. This role focuses on regulatory and transactional matters for franchising, encompassing a range of domestic and international clients. Candidates will advise on and draft franchise-related agreements, provide counsel on regulatory filings, and support clients in complex business transactions. This opportunity allows for remote work or placement in the Miami office, catering to clients across various industries.

Duties

• Draft and review franchise agreements, disclosure documents, and other regulatory filings to ensure compliance with franchise laws.
• Provide strategic advice on franchise law, supporting clients through expansions, restructurings, and mergers & acquisitions.
• Counsel domestic and international clients on franchising issues, maintaining compliance with U.S. and international franchise regulations.
• Collaborate with a diverse client base, including start-up and established franchisors as well as private equity firms.
• Contribute to the growth of the firm’s Franchise & Distribution practice by providing innovative, business-focused solutions.

Requirements

• Minimum of 8 years of experience in transactional franchise law with extensive knowledge of U.S. franchising regulations.
• Active State Bar admission in Florida or eligibility for admission via waiver.
• Demonstrated experience in drafting and managing complex franchise agreements and related regulatory documentation.
• Strong analytical abilities to navigate multifaceted legal issues in franchising.
• Ability to work independently and collaboratively within a team-oriented environment.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Admission to the Florida State Bar or eligibility to obtain admission via waiver.
