Private Investment Fund Formation Associate

A law firm seeks an experienced Associate to join its Fund Formation practice in New York. This position is ideal for a candidate with 3-5 years of experience in private investment fund formation. The successful applicant will have a background representing both sponsors and investors in private fund formations, including sponsor-level and secondary transactions. Duties:

• Advise clients on the formation of private investment funds, including negotiating and drafting key documents such as limited partnership agreements and subscription agreements.
• Work on sponsor-level transactions, including those involving general partner and management company entities.
• Handle secondary transactions, including those involving limited partner and portfolio company interests.
• Collaborate closely with senior attorneys and clients in a fast-paced environment.
• Participate in fund-related transactions and provide comprehensive legal guidance throughout.
• Support clients with strategic and compliance-related matters in the investment fund space.

Requirements:

• 3-5 years of experience in private investment fund formation.
• Experience with sponsor and investor representation in fund formation and related transactions.
• Experience with secondary transactions, including those involving limited partner interests or portfolio companies.
• Strong academic background from a nationally recognized law school.
• Prior experience in a corporate department at a national or international law firm is preferred.
• Demonstrated ability to work on complex transactions in a team-oriented environment.

Education:

• J.D. from an accredited law school.

Certifications:

• Admission to the bar in New York.
