Duties

  • Represent clients in complex mergers and acquisitions (M&A) transactions, including drafting, negotiating, and finalizing agreements.
  • Advise clients on private equity transactions, including fund formation, investment structuring, and portfolio company management.
  • Conduct due diligence for M&A and private equity deals, identifying and assessing potential legal risks.
  • Collaborate with cross-functional teams to provide comprehensive legal solutions tailored to client's business objectives.
  • Assist clients in navigating regulatory requirements and compliance matters related to M&A and private equity activities.
  • Prepare and review transactional documents, ensuring accuracy and adherence to relevant laws and regulations.
  • Participate in negotiations, providing strategic advice and support to achieve favorable outcomes for clients.
  • Maintain up-to-date knowledge of industry trends, legal developments, and M&A and private equity best practices.
  • Foster and maintain strong client relationships through effective communication and responsive service.

Requirements

  • 4-6 years of mergers and acquisitions and private equity transactional experience in an Am Law firm.
  • Demonstrated expertise in handling complex M&A and private equity transactions.
  • Exceptional writing and analytical skills.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Strong interpersonal skills with the ability to work collaboratively within a team.
  • High level of professionalism and ethical standards.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Admission to the Texas Bar is required.
